01Who agrees to what
These Terms of Service are a contract between you and Menci software srl, registered address: Via Fratelli Lumiere 19, 52100 Arezzo (AR), Italy ("LiveAds", "we") about using the LiveAds website and console. If you use LiveAds for an organisation, you accept these Terms for it and confirm you may do so. If you do not accept them, do not use LiveAds.
02What LiveAds provides
LiveAds is software for launching, managing and reporting on Meta advertising. It connects to Meta only through the official Marketing API and Graph API and lets you view ad accounts and statistics, create campaigns, ad sets and ads, run automated rules and moderate comments under your ads and Page posts.
03Your workspace
- You must be 18 or older and use LiveAds for business.
- Keep your sign-in details private. You answer for everything done in your workspace, including by people you invite.
- Keep your account information accurate.
- Tell us at [email protected] as soon as you suspect someone else has access.
04Meta’s rules apply to your ads
You connect Meta through Facebook Login for Business and grant the permissions explained in Docs. Connect only ad accounts, business portfolios and Pages you are authorised to manage.
Advertising through LiveAds, you must follow, and you accept, the Meta Terms of Service, the Meta Commercial Terms, the Meta Self-Serve Ad Terms, the Meta Advertising Standards and the Meta Community Standards, in their current versions.
One ad account, one advertiser. Each ad account you manage through LiveAds serves a single end advertiser. Running ads for different advertisers from the same ad account is not allowed.
05What you may not do
You must not use LiveAds to:
- run ads that break Meta’s Advertising Standards or the law, or that mislead people;
- evade, probe or interfere with Meta’s ad review, integrity checks or account restrictions;
- reach ad accounts, Pages or data you are not authorised to use;
- share your sign-in or resell access to LiveAds without our written consent;
- scrape, reverse engineer or overload LiveAds or test its security without permission;
- harass people who comment on your ads or collect their data for anything other than moderation.
We may suspend access that endangers other customers, Meta’s platform or the public, and will tell you why unless the law forbids it.
06Launches and rules run on your instructions
LiveAds acts only when you tell it to: an action in the console, or an Autopilot or Inbox rule you created and switched on. New launches are created paused. You are responsible for reviewing campaigns before you activate them and for what your rules do, including budget changes and the spend they cause.
07Your content and data
Your content and data remain yours. You allow us to process them only to provide LiveAds, as set out in the Privacy Policy. For personal data of people who interact with your ads, we act as your processor and follow your instructions.
08Plans and billing
LiveAds is sold on paid monthly plans (Signal, Channel, Station, Network, Syndicate) listed on Pricing. Plans differ by the number of connected ad accounts and workspace seats.
- Fees are in US dollars and are billed monthly in advance, by invoice or through the payment provider shown when you subscribe.
- A plan renews each month until cancelled. You can cancel at any time; the plan stays active to the end of the paid period and the next one is not charged. Paid fees are not refunded unless the law requires it.
- If a workspace goes beyond its plan limits, we may ask you to move to a plan that fits.
- We may change prices. Workspace owners are told by email at least 30 days in advance; the new price applies from the first billing period after that notice, and you may cancel before then.
- Custom (Syndicate) plans follow the terms agreed with you in writing.
Ad spend is billed to you by Meta directly and is not part of any LiveAds fee.
09Dependence on Meta
We work to keep LiveAds available but do not promise it will be uninterrupted. LiveAds relies on Meta’s platform, and Meta may change, limit or withdraw API features or access at any time, which may stop some features from working. We are not responsible for Meta’s actions, including ad rejections, account restrictions and API changes.
10Ending the agreement
You can stop using LiveAds and delete your workspace at any time from Workspace settings. We may end these Terms with 30 days’ notice, or at once for a serious breach. When the agreement ends, data received from Meta is deleted within 30 days, as described on Data deletion.
11No warranty
LiveAds is provided "as is" and "as available". As far as the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Figures in LiveAds come from Meta and can differ from Ads Manager because of attribution settings, time zones or reporting delays.
12Limits of liability
As far as the law allows, LiveAds is not liable for indirect or consequential loss, lost profit, lost revenue or ad spend, and our total liability for any claim is capped at what you paid us in the 12 months before it. Nothing here limits liability that the law does not allow to be limited.
13Indemnity
You will defend and indemnify LiveAds against claims arising from your ads, your content or your breach of these Terms or of Meta’s terms.
14Governing law
These Terms are governed by the law of the country where Menci software srl is registered, and its courts decide disputes, unless mandatory law where you are based provides otherwise.
15Changes
We may update these Terms. The new version is posted here with a new revision date, and for material changes workspace owners are emailed at least 14 days before they take effect.
16Independence from Meta
LiveAds is not affiliated with, endorsed or sponsored by Meta Platforms, Inc. Meta and Facebook are trademarks of Meta Platforms, Inc.
